Distance Sales Agreement

This is a courtesy translation. In case of any conflict, the Turkish version prevails.
Important: ScalpIQ services are digital services performed instantly online. Access starts the moment payment is approved, so there is no right of withdrawal and fees are not refunded (see Section 8). Please read this agreement carefully before completing your order.
1. Parties
1.1 Seller
- Legal name
- ScalpIQ
- [email protected]
1.2 Buyer
The individual or legal entity that places an order on https://scalpiq.app and provides its name or company name, address, tax details, email address and phone number during checkout ("Buyer"). These details appear in the order summary and on the invoice.
2. Subject
This agreement sets out the rights and obligations of the parties regarding the sale and performance of ScalpIQ software services purchased online on https://scalpiq.app. If the Buyer is a consumer, Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation apply; if the Buyer is a merchant or institution, the Turkish Code of Obligations No. 6098 and Turkish Commercial Code No. 6102 apply.
ScalpIQ is designed for the professional activities of healthcare providers such as hair, beard and eyebrow transplant clinics. The Buyer declares that it purchases the service for commercial or professional purposes.
3. Main features of the service
- ScalpIQ (clinic dashboard): consultation management, visual graft planning, pre-assessment, multilingual reports and CRM integration.
- ScalpIQ Care (patient app): post-op aftercare plan, check-up photos, messaging and satisfaction tracking.
- ScalpIQ + ScalpIQ Care: both services together.
Each service can be purchased in two ways:
- Subscription (monthly or yearly): The service is hosted on the Seller's servers. Setup, updates, hosting and support are included. The subscription ends on its own at the end of the chosen term (1 or 12 months) and does not renew automatically. The Buyer may extend it by purchasing a new term at https://scalpiq.app/hesabim or via the link in the reminder email.
- One-time purchase (lifetime licence): The software is delivered to the Buyer with its source code. The Buyer uses it indefinitely on its own server, for its own organisation. Setup and handover support are included; hosting, maintenance and updates after delivery are not, unless agreed separately.
- Credits: Subscriptions are credit-based. 1 ScalpIQ credit is 1 report and is used when the report is finalized; regenerating the same consultation's report uses no credit. 1 Care credit is one patient followed for 12 months in the Care app. Monthly plans load the chosen amount each month; yearly plans load 12 months' credits at once. Credits can only be used within their subscription term: unused credits expire at the end of the month on monthly plans and at the end of the 12 months on yearly plans, and do not carry over. Existing customers can buy top-up credit packs valid for 12 months; top-ups do not change the subscription term. Credits are non-refundable, cannot be exchanged for cash and cannot be transferred to another clinic. The lifetime licence is unlimited and has no credits.
Detailed features and terms are set out in the Terms of Use, which form an integral part of this agreement.
4. Price and payment
- Prices are shown as US dollar or euro list prices in the Plans section of https://scalpiq.app and in the order summary. Payment is charged in Turkish lira; the TL amount is the list price multiplied by the CBRT (TCMB) daily selling rate at the time of order and is shown in the order summary together with the rate used. Prices exclude VAT; VAT and any other statutory taxes are shown separately in the order summary and added to the total.
- Payment is taken by credit or debit card through the virtual POS of a licensed payment institution or bank, with 3D Secure verification. The Seller never sees or stores card details. Where offered on the checkout page, the Seller also accepts bank transfer; the service then starts when the payment reaches the Seller's account.
- The subscription fee for the whole term purchased is paid in advance at checkout. The Seller does not charge the Buyer's card for later terms without the Buyer's separate approval. Reminder emails are sent 7 days before the subscription ends and when it ends.
- For instalment payments, any instalment terms or interest are between the Buyer and its bank.
- The Seller may change prices for future terms by giving at least 30 days' notice by email. Changes apply only to terms purchased after the notice; the price of a term already paid does not change.
- An electronic invoice is issued after payment using the details provided at checkout and sent to the Buyer's email address.
5. Performance and delivery
- For subscriptions, the term starts once payment is approved, and the Buyer can track its subscription, remaining time and orders at https://scalpiq.app/hesabim with the account created at checkout. We contact the Buyer to set up the clinic dashboard. Performance begins when payment is approved. A new term bought while a subscription is active starts when the current term ends.
- For one-time purchases, the source code and installation documents are delivered electronically (secure download link or code repository access) within 30 days of payment approval.
- The service has no physical component; there are no shipping charges.
6. Buyer's declarations and obligations
- Before confirming the order, the Buyer confirms on the checkout page that it has read the Pre-contract Information Form, this agreement, the Cancellation and Refund Policy, the Terms of Use and the Privacy and Security Policy, and has been informed of the main features of the service, the total price, the payment method and the absence of a right of withdrawal.
- The Buyer declares that the information provided is accurate and that the card used belongs to it or to the organisation it is authorised to represent.
- The Buyer is the data controller for patient data it uploads to ScalpIQ and is responsible for informing its patients and obtaining any required consents.
7. Seller's obligations
- The Seller provides the service in line with this agreement and the Terms of Use.
- The Seller announces planned maintenance in advance where possible and works to keep downtime to a minimum.
8. Right of withdrawal
Under Article 15(ğ) of the Turkish Distance Contracts Regulation, the right of withdrawal does not apply to services performed instantly in electronic form or to intangible goods delivered instantly. Because access to ScalpIQ starts the moment payment is approved, and a one-time purchase is delivered digitally with source code, the Buyer has no right of withdrawal.
Where the Buyer purchases as a merchant or institution for professional purposes, the consumer right of withdrawal does not apply in any case.
By confirming the order, the Buyer expressly requests that performance begin immediately and acknowledges that it thereby loses any right of withdrawal. See the Cancellation and Refund Policy for details.
9. Limitation of liability
- ScalpIQ is decision-support software. It does not provide medical advice, diagnosis or treatment. Graft calculations, pre-assessment alerts and reports are aids to the physician's judgement. All medical decisions and responsibility towards patients rest with the Buyer and its physicians.
- To the extent permitted by law, the Seller is not liable for indirect loss, loss of profit or data, or damage caused by misuse of the software by the Buyer or its patients. The Seller's total liability under this agreement is limited to the fees paid by the Buyer in the 12 months before the event giving rise to the claim. This limitation does not apply to intent or gross negligence where liability cannot be limited by law.
- For one-time purchases, consequences arising from the modification, hosting or operation of the source code by the Buyer or third parties after delivery are the Buyer's responsibility.
10. Force majeure
Obligations are suspended for the duration of events beyond the parties' control, such as natural disasters, epidemics, war, strikes, general power or communication outages, major hosting provider failures and orders of public authorities.
11. Personal data
The Buyer's personal data is processed in accordance with the Personal Data Notice and the Privacy and Security Policy.
12. Disputes
This agreement is governed by Turkish law. Where the Buyer is a consumer, the Consumer Arbitration Committees at the Buyer's place of residence or transaction have jurisdiction within the monetary limits announced annually by the Ministry of Trade, and Consumer Courts above those limits. Where the Buyer is a merchant or institution, the courts and enforcement offices of İstanbul (Çağlayan) have jurisdiction.
13. Evidence
The parties agree that the Seller's server records, electronic correspondence and payment institution records constitute conclusive evidence under Article 193 of the Turkish Code of Civil Procedure.
14. Entry into force
This agreement enters into force when the Buyer confirms online at checkout that it has read and accepted it and payment is completed. A copy is sent to the Buyer's email address and kept by the Seller.
