Terms of Use
Last updated: 19 October 2026
This is a courtesy translation. In case of any conflict, the Turkish version prevails.
1. Parties and scope
These terms are between ScalpIQ ("ScalpIQ" or "Seller") and the clinics, institutions and their authorised users ("User") who use https://scalpiq.app, the ScalpIQ clinic dashboard, the team mobile app or the ScalpIQ Care app. Anyone who visits the site or uses the service is deemed to accept these terms. The Distance Sales Agreement also applies to paid services.
2. Definitions
- Service: the ScalpIQ clinic dashboard, the ScalpIQ Care patient app, the team mobile app and all related software and content.
- Customer: the clinic or institution that purchases the Service.
- Authorised user: doctors, coordinators, sales representatives and other staff the Customer adds as users on its account.
- Patient data: photos, medical history, health information and contact details uploaded to the Service by the Customer or its patients.
3. Account and security
- The account is opened in the Customer's name. The Customer is responsible for choosing authorised users, managing their permissions and removing access for people who leave.
- Usernames, passwords and verification codes must be kept confidential. All actions taken through the account are attributed to the Customer. Any unauthorised use must be reported immediately to [email protected].
- The Customer is responsible for keeping registration details accurate and up to date.
4. Nature of the service: not medical advice
ScalpIQ is decision-support and workflow software. It is not a medical device; it does not diagnose, recommend treatment or replace a physician.
Graft counts, area ratios, pre-assessment alerts, reports and other outputs are only aids for the physician. All decisions about a patient's suitability, the transplant plan and treatment are made by the Customer's physicians, and all responsibility for those decisions lies with the Customer.
The Customer agrees to have reports checked by a physician before sharing them with patients.
5. Patient data and KVKK
- For patient data, the Customer is the data controller; ScalpIQ is the data processor, processing that data only on the Customer's instructions and to provide the Service.
- Informing patients, obtaining explicit consent for health data (a special category of personal data), registering with VERBIS and responding to patient requests are the Customer's obligations.
- ScalpIQ does not use patient data outside the Customer's instructions, does not sell it and does not process it for advertising. Technical and organisational security measures are described in the Privacy and Security Policy.
- When the agreement ends, the Customer may export its data within 30 days. After that period the data is deleted, subject to statutory retention obligations.
6. Acceptable use
The User agrees not to:
- use the Service for unlawful purposes or to process data without patients' explicit consent;
- reverse engineer the software, extract source code or attempt to bypass security measures (for source code delivered under a one-time purchase, Section 8 applies);
- sell, rent or transfer the Service, its account or access to third parties;
- upload malware, overload the system or attempt to access other users' data;
- upload false or misleading content or content that infringes third-party rights.
In case of breach, ScalpIQ may suspend or close the account with prior notice, or without notice in urgent cases.
7. Intellectual property
The Service's software, design, the ScalpIQ and ScalpIQ Care brands, logos and content belong to ScalpIQ. A subscription grants the Customer a non-exclusive, non-transferable right to use the Service in its own clinic for the subscription term. Data and logos uploaded by the Customer belong to the Customer.
8. One-time purchase (lifetime licence)
- A one-time purchase grants the Customer the right to use the delivered software and source code indefinitely for its own organisation and branches, host it on its own server, publish it under its own brand and modify it for its own needs.
- Selling, licensing, distributing free of charge or marketing the software or source code as a competing product to third parties is prohibited.
- After delivery, hosting, security updates, backups and protection of patient data are the Customer's responsibility. In that case the Customer is both data controller for patient data and operator of the system.
- Post-delivery support and updates are agreed separately in writing.
9. Service continuity
ScalpIQ makes reasonable efforts to provide the Service without interruption, but the User accepts that maintenance, updates, third-party infrastructure failures and force majeure may cause downtime. The Service is provided "as is". ScalpIQ may improve and change the Service's features; changes that remove core features are announced at least 30 days in advance.
10. Limitation of liability
To the extent permitted by law, ScalpIQ is not liable for indirect damages, loss of profit, revenue, reputation or data, misuse of the Service or use contrary to these terms, or the consequences of medical decisions. ScalpIQ's total liability is limited to the fees paid by the Customer in the 12 months before the event giving rise to the claim. This limitation does not apply to intent or gross negligence.
The Customer agrees not to hold ScalpIQ liable for, and to indemnify ScalpIQ against, claims by patients or third parties arising from the Customer's medical decisions, failure to meet its data controller obligations, or use contrary to these terms.
11. Term and termination
For subscriptions, these terms remain in force for the subscription term purchased; subscriptions do not renew automatically and are extended when the Customer buys a new term. The Cancellation and Refund Policy applies to cancellations and refunds. ScalpIQ may terminate in case of material breach.
12. Changes
ScalpIQ may update these terms. Material changes are announced by email or in the dashboard at least 15 days before they take effect. Continued use of the Service after the change means acceptance of the new terms.
13. Governing law and jurisdiction
These terms are governed by Turkish law. The courts and enforcement offices of İstanbul (Çağlayan) have jurisdiction; jurisdiction rules under consumer law are reserved where the User is a consumer.
